Other Events.

On May 12, 2008, TeamStaff, Inc. (the “Company”) announced that it was notified by The Nasdaq Stock Market that, as a result of the Company’s common stock closing at $1.00 per share or more for a minimum of 10 consecutive trading days, it has regained compliance with the minimum bid price requirement for continued listing on the Nasdaq Global Market. The bid price requirement was met as a result of the 1-for-4 reverse stock split of the Company’s outstanding common stock which became effective as of April 21, 2008. A copy of the press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.

TEAMSTAFF REGAINS COMPLIANCE WITH

NASDAQ MINIMUM BID LISTING REQUIREMENT

Somerset, N.J., May 12, 2008 – TeamStaff, Inc. (Nasdaq: TSTFD), a national provider of healthcare, logistics and administrative staffing services, today announced that it has received a letter from The Nasdaq Stock Market, indicating that the Company has regained compliance with the $1.00 per share minimum closing bid price requirement for continued listing on the Nasdaq Global Market, pursuant to the Nasdaq Marketplace Rules. In the letter, Nasdaq advised the Company that this matter is now closed. The Company’s common stock is currently trading under the symbol “TSTFD” to denote the reverse split. Commencing May 19, 2008, the trading symbol will revert to “TSTF”.
